1. Who this agreement is between
This agreement is between Cornerstone Intelligence Co. ("Cornerstone") and you, the business owner who signs up for Assistant Setup and Training ("you" or "the client").
Cornerstone Intelligence Co. is the company providing this service. This agreement is with the company. It is not a personal agreement with Ted Lopez or with any other individual person.
These terms are a separate agreement for Assistant Setup and Training. The Master Service Terms do not apply to this service unless a written order for this service says so.
2. What this service is
Cornerstone sets up your own AI assistant and trains it on your business, with you, step by step. Your assistant learns who you are, what your business does, what you sell, what you charge and how you work.
You own your assistant. It lives in your own account, under your name. Cornerstone trains it and guides you. Cornerstone does not own your assistant, and Cornerstone cannot see inside your assistant's account except through what you and your assistant send to Cornerstone.
This service is training. It is not a CRM build, a website build, a phone system or a marketing service. Those are separate services with their own agreements and prices.
3. The three stages
Cornerstone works in three stages. This agreement covers Stage 1 of 3 and, if you choose it, Stage 3 of 3.
- Stage 1 of 3, Setup and Training: Cornerstone sets up your assistant and trains it on your business through guided interviews, at your pace, in your language. At the end of Stage 1 of 3, you have a trained assistant and a clear picture of your business, including a game plan that lists what to fix first.
- Stage 2 of 3, Systems Build: if you choose it, Cornerstone builds systems for your business, such as a CRM, a phone system or Google Visibility work. Stage 2 of 3 is separate paid work. It is priced and agreed in writing before any build starts. Stage 1 of 3 does not include Stage 2 of 3, and finishing Stage 1 of 3 does not commit you to Stage 2 of 3.
- Stage 3 of 3, Maintenance and Support: ongoing help that keeps your assistant current after setup. Section 7 covers how Stage 3 of 3 works.
4. What Stage 1 of 3 includes
- A live setup call with Cornerstone, where your assistant is installed, named by you and connected.
- Cornerstone's starter training, in your language, English or Spanish.
- A place in the Cornerstone Start WhatsApp room for your stage, and a shared folder for your training documents.
- Guided interview sections that your assistant walks through with you, one section at a time, at your pace.
- Review of each finished section by Cornerstone before the next section starts.
- Starter documents built from your answers, and a final review meeting with a game plan for what comes next.
5. Price and payment for Stage 1 of 3
The list price for Stage 1 of 3 is $1,500, one time.
The pilot price is $1,200, one time, for the first 3 paying training clients. The pilot price is given in exchange for a documented build and an honest testimonial that Cornerstone may use, as described in Section 16.
Payment is due in full before setup work starts. No setup call is scheduled and no work begins until payment has been received. This is Cornerstone's standard rule for every service: money first, then work.
6. Your AI app subscription is separate
Your assistant runs on a third-party AI app. You sign up for that app yourself, in your own name, and you pay the app company directly for your own subscription.
That subscription cost is set by the app company. It is separate from Cornerstone's price. Cornerstone does not charge it, does not mark it up and does not collect it. If you stop paying for the app, your assistant may stop working, and that is between you and the app company.
7. Stage 3 of 3 support, price and limits
After Stage 1 of 3, you may choose Stage 3 of 3 maintenance and support at $297 per month.
If you are a paying client on a Cornerstone CRM package, the Support room is included with your package at no extra monthly fee, and the $297 per month line does not apply to you.
Stage 3 of 3 support includes:
- Access to the Cornerstone Support WhatsApp room.
- One packet review round per week.
- One new training task per week.
- Prompt and system updates, shared in the Support room first.
- Answers to questions posted in the Support room.
Support has limits, and they are part of this agreement:
- Support is provided through the WhatsApp room and by email. It is not unlimited one-to-one time with Ted Lopez or any one person.
- Support hours are Monday through Friday, 9:00 AM to 5:00 PM Pacific Time, not counting holidays.
- Cornerstone will respond to a support question within 1 business day.
- Direct individual help outside the room is capped at 2 hours per month. Help beyond that cap is quoted and agreed in writing before the work is done.
- Live calls are by appointment only.
Stage 3 of 3 is month to month. There is no long-term contract for support. Section 15 covers how either side can end it.
8. Your accounts and your passwords
Your accounts stay yours. You own and control every account used in this service, including your AI app account, your email and your file folders.
Cornerstone will never ask for your passwords. Cornerstone will never ask for your bank logins, your bank account numbers or your card numbers, and you must never send them, in any room, chat or packet.
When a login is needed, you log in yourself. Cornerstone will send you a secure link or walk you through the steps, and you enter your own information on your own device.
9. Your responsibilities
This service works when you take part. You agree to:
- Show up for the setup call and for scheduled review meetings, or reschedule with reasonable notice.
- Answer the interview questions honestly and as fully as you can. Your assistant can only learn what you tell it.
- Give accurate information. You are responsible for the accuracy of the information you give your assistant and give Cornerstone.
- Review your assistant's work before you act on it. Your assistant drafts and prepares. You approve before anything is sent, filed, promised or paid.
- Keep your own logins safe and tell Cornerstone at once if you believe an account has been used by someone else.
10. Your data belongs to you
Your business data belongs to you. That includes your customer lists, your documents, your prices, your interview answers and everything your assistant builds for you.
Everything built in your name stays with you. If you leave Cornerstone, you keep your assistant setup, your data and your documents. Nothing you built is held back.
Cornerstone will keep your information private. Cornerstone will not sell your information. Cornerstone will not share your information with other clients. One client's material never touches another client's folder, room or packet.
Cornerstone keeps copies of the packets and documents it reviews for you, so it can do the review work and keep a training record. If this agreement ends, you may ask Cornerstone in writing to delete those copies, and Cornerstone will do so within 30 days, except for records Cornerstone must keep for its own taxes and legal duties.
11. Rules for the WhatsApp rooms
The WhatsApp rooms are shared learning spaces. They are for questions, lessons and wins.
Your private business information never goes in a group room. That includes your customer names and lists, your prices and margins, your estimates and invoices, and your account details. Those belong in your private folder and your private thread with Cornerstone only.
By joining a room, you agree to treat other members with respect and to keep what other members share inside the room.
12. Cornerstone training materials belong to Cornerstone
The training packs, the question lists, the interview structures, the methods and the order of the training are the property of Cornerstone Intelligence Co. They took a long time to build and they keep improving.
You may use the training with your own assistant, for your own business, for as long as you are a client and after, for your own internal use.
You may not copy the packs or question lists to hand out. You may not resell them. You may not share them with other businesses. You may not use them to train other businesses or to build a competing service.
What is yours stays yours: your answers, your data and the documents built from your answers belong to you, as Section 10 says. What is Cornerstone's is the training system itself.
13. No guaranteed results
Training improves how your business runs. It helps your assistant follow through, remember and prepare work for you.
Cornerstone does not guarantee revenue, profit, leads, customers, rankings or any business result. No one can honestly promise those, and Cornerstone will not.
Your results depend on your business, your market and the work you put in.
14. Your assistant is a tool, and it can make mistakes
An AI assistant can make mistakes. It can misunderstand, leave things out or state something that is wrong. That is why Section 9 requires you to review its work before you act on it.
You remain responsible for your business decisions, including legal, tax, payroll, hiring, safety and compliance decisions. Cornerstone's training does not replace your attorney, your accountant or your bookkeeper.
Two hard rules:
- Your assistant does not run payroll. Payroll stays with a person.
- Your assistant does not file taxes. Tax filing and tax sign-off stay with a person.
If your assistant prepares drafts or gathers numbers for payroll or taxes, a qualified person must check and approve them before anything is submitted or paid.
15. Ending this agreement
Stage 1 of 3 ends when the training sections are complete and verified, or when either side ends this agreement as described below.
Stage 3 of 3 support is month to month. Either side may end Stage 3 of 3 support with 30 days' written notice. Email counts as written notice. Support continues through the end of the notice period you have paid for, and no further monthly charges are billed after that.
If you end this agreement, you keep your assistant setup, your data and your documents, as Section 10 says. Cornerstone keeps its training packs, question lists and methods, as Section 12 says.
Setup fees for work already performed are not refundable.
Either side may end this agreement at once if the other side breaks a core rule of it, including the password rule in Section 8, the room rule in Section 11 or the ownership rule in Section 12, and does not fix the problem within 10 days of written notice.
16. Testimonials and recordings of your training
If you received the pilot price, you agree to give an honest testimonial about your experience when your Stage 1 of 3 training is complete, and Cornerstone may use it in its marketing with your name and business name.
Cornerstone will not record a training session, and will not use any recording or transcript of your sessions for content or marketing, without your written okay first.
17. Call recording in later builds
Stage 1 of 3 does not record your calls.
If a later build, such as a phone system in Stage 2 of 3, includes any call recording feature, then all of the following apply:
- Recording happens only with Cornerstone's approved disclosure, read or played as required, before or at the start of the call. There is no recording without the disclosure.
- You may choose no recording. That choice is respected, and it is recorded in writing in your file.
- Recording settings are part of your written build agreement, not a side conversation.
18. Late payments and pausing service
Amounts not paid when due carry a late fee of 1.5 percent per month on the overdue amount. This is Cornerstone's standard rate.
If a payment is overdue, Cornerstone will notify you in writing. If the payment is still not made within 10 days of that notice, Cornerstone may pause training, packet review and support access until the account is current. Pausing is not cancellation. Your assistant, your data and your documents stay yours during a pause.
No new work starts while an account is overdue.
19. Limit on Cornerstone's responsibility
To the fullest extent allowed by Washington law, Cornerstone's total responsibility under this agreement is capped at the total amount you paid Cornerstone under this agreement.
Cornerstone is not responsible for losses that come from decisions you made using your assistant's drafts without review, from your AI app subscription or any third-party service, or from business results described in Section 13.
Nothing in this section removes responsibility that Washington law does not allow a business to limit.
20. Washington law
This agreement is governed by the laws of the State of Washington. Any dispute about this agreement will be handled in Washington.
21. Changes to these terms
Cornerstone may update these terms for future clients. Changes do not apply to you unless you agree to them in writing, except that Stage 3 of 3 support pricing and support limits may be updated with 30 days' written notice, and you may end support under Section 15 instead of accepting an update.
If any part of this agreement is found unenforceable, the rest of it still stands.
Your agreement
By signing, paying or starting the setup call, you confirm that you read these terms, that your questions were answered and that you agree to them.
